Performance Agreement

This agreement confirms our discussions and finalizes the arrangements made between the parties.

Engagement Details:
Agreement made, effective ______, by and between Marguerite Lynn Williams, having a business
address of XXXXXXXXXX, Miami Beach, FL 33139, hereinafter referred to as the Vendor,
and  _____________________________hereinafter referred to as the Contractor, for the
purpose of providing musical performance as described in this agreement.

Vendor agrees to provide performance by the following artist:    
_______________________________         

The performance will be given at_______________ commencing at_______________for a
period of________________on_______________and concluding no later than
______________.

The parties agree that the music to be performed will be:  ____________________________
Any specially requested music must be received no later than one month prior to the date of the
performance to allow ample time for preparation.  All music not in my current repertoire must be
provided by the contractor in the form of piano sheet music in the key to be performed.  Any
additional arrangement and transposition work required of vendor will incur additional fees.

Overtime:
While a slight delay in your event can generally be accommodated, a lengthy delay may cause the
Artist to be late to following bookings. If you event runs over the above contracted time, the Artist
may be required to leave your event to attend to other scheduled engagements. Overtime charges
will also be incurred. Overtime performance is at the sole discretion of the Artist, and any
overtime charges incurred are payable in cash at the conclusion of the performance.  Overtime is
booked in half-hour increments at a rate of $75/half-hour.

Vendor may agree, if requested by Contractor, to provide an extended performance or additional
performances, but is under no obligation to do so and Contractor acknowledges that such
performance is beyond this agreement and may be provided at the sole discretion of Vendor.  In
any case where a performance is extended or additional performances given, such additional
services will be charged for at the standard rates of Vendor and immediately payable in cash
following the extended performance.

Client Option: Should the above stated event go beyond the contracted time, I authorize the
contracted musician(s) to stay for overtime (subject to musician availability) at the rate of $75 per
player per half-hour. ________________

Additional Services:
Vendor may agree, if requested by Contractor, to collaborate with additional performers, but is
under no obligation to do so unless expressly written within this contract.  Contractor
acknowledges that collaboration with additional performers is beyond this agreement and may be
provided at the sole discretion of Vendor.  Collaboration with additional musicians not included
within this contract may require additional rehearsals, such additional services will be charged for
at the standard rates of Vendor- $50/half hour for rehearsals held at Vendor's business address.

Deposit and Payment Information:
Contractor agrees to pay $ ________, including a non-refundable deposit of $________, receipt
whereof is hereby acknowledged, to Vendor for the performances and other services described
herein.  Performance date and time will not be held until signed contract and deposit are received
by Vendor.  The parties agree that the remaining balance of $________ must be paid to Vendor
and received no later than _________________.
Payments may be made in cash, personal check, money order or business check.

In the event where the performance is cancelled by Contractor within 60 dates of the date of the
performance, the full amount will be due and immediately payable to Vendor.  If a performance is
cancelled by written notice from Contractor and received by Vendor 60 or more days in advance
of the performance date, the non-refundable deposit as stated above shall be deemed settlement
of all obligations of Contractor.

Penalty of $50 to be paid by hiring party per any check returned due to insufficient funds/acct.

Any payments received after the balance due date will incur a late fee of $50.

                        
Important- General Terms & Conditions

Contractor agrees to provide: (a) sufficient space for the instrument and associated equipment and
materials in such a location as to be easily accessible and require no more than five (5) steps to
reach with the harp and related equipment, secure and safe from upset, tampering by unauthorized
persons, or exposure to temperature extremes, inclement weather, high winds or other hazardous
conditions that could cause harm to the instrument, equipment, or Vendor's employees (If the
contracted event is outside, I require low humidity and no precipitation in order to protect my
instrument. The harp must be placed on a hard, dry, level surface and out of direct sunlight. I also
require having a back-up location for your event in case of extreme winds, humidity,
uncomfortably cold/hot weather, or precipitation. Vendor reserves the right to determine if the
weather is acceptable for allowing instruments to be outdoors.) The harp will absolutely not be
allowed to be moved outdoors to any performance if the temperature is below 10 degrees
Fahrenheit.  (b) a source of electrical power in close proximity to the area of performance, (c)
appropriate lighting sufficient to read music, and (d) sufficient parking for Vendor's transportation
vehicle with immediate access to the performance location.  (*Parking arrangements with
immediate access to the venue must be made and paid for in advance by Contractor)

The parties agree that the employees of Vendor are not the employees of the Contractor.  
Contractor shall have no obligation to employees of Vendor and Vendor agrees to hold
Contractor harmless in any event whereby a claim of workman's compensation or other liability
shall arise except in any event of negligence or breach of the terms of this agreement by
Contractor.

Any differences, claims, or matters of dispute between Contractor and Vendor out of or
connected with this agreement shall be submitted by them to arbitration by the American
Arbitration Association or its successor and the determination of the American Arbitration
Association or its successor shall be final and absolute.  The arbitrator shall be governed by the
duly promulgated rules and regulations of the American Arbitrations Association or its successor,
and the pertinent provisions of the laws of the State of Illinois relating to arbitration.  The decision
of the arbitrator may be entered as a judgment in any Court of the State of Illinois or elsewhere.

In any event where Vendor is unable to collect any moneys owed by Contractor within 30 days of
he date due and payable, Vendor shall be authorized to utilize collection agencies, attorneys, and
any other means available to collect such debt with the cost of such actions to be paid by
Contractor.

It is agreed by the parties that this agreement shall be governed by, construed, and enforced in
accordance with the laws of the State of Illinois.  The rights of each party under this agreement are
personal to that party and may not be assigned or transferred to any other person, firm,
corporation, or other entity without the prior express, and written consent of the other party.

The failure of either party to this agreement to insist upon the performance of any of the terms and
conditions of this agreement, or the waiver of any breach of any of the terms and conditions of this
agreement, shall not be construed as thereafter waiving any such terms and conditions, but the
same shall continue and remain in full force and effect as if no such forbearance or waiver had
occurred.

In the event either party shall give notice to the other, such notice shall be deemed as having been
given when sent by certified mail, return receipt requested, if sent to the respective party at the
address given at the beginning of this agreement.  In any event where time is of the essence, any
such notice shall be deemed as received as of the date of receipt indicated on the U.S. Postal
Service Return Receipt document.

In any event whereby Vendor is unable to provide the performance as set forth herein due to
circumstances beyond its control, such being acts of God, fire, flood, severe and hazardous
weather (including extremely temperatures), acts of war, riot or other insurrection, injury or illness
of artist, inaccessibility of performance location, or other incidents commonly known as Force
Majure, Vendor's sole obligation shall be the refund of any deposit held and the waiver of any
further payment obligation by Contractor.

Other terms and conditions:

This agreement shall bind and inure to the benefit of the respective heirs, successors, and assigns
of the parties.  This agreement shall constitute the entire agreement between the parties and any
prior understanding or representations of any kind preceding the date of this agreement shall not
be binding upon either r party except to the extent incorporated in this agreement.  Any
modification of this agreement or additional obligation assumed by either party in connection with
this agreement shall be binding only if evidence is writing, signed by each party or an authorized
representative of each party.
